Why "mutual" is the right default for vendor evaluation

During a genuine vendor evaluation, information tends to flow both directions — you might share internal pricing targets or technical requirements, while the vendor shares their own proprietary methodology or pricing structure. A mutual NDA covers both sides of that exchange under one agreement, rather than needing separate one-way documents depending on who's disclosing what in a given conversation.

A short survival period means the confidentiality obligation itself expires quickly once the relationship ends — which might be fine for routine vendor pricing, but genuinely risky if the shared information includes something like proprietary technical specifications or customer data that stays sensitive for years, not months.
